These Terms of Service (“Terms”) govern the use of SOUQERP software products, solutions, mobile applications, websites, and all related services (“Services”) provided by SOUQERP. By accessing or using the Services, users acknowledge and agree to comply with these Terms.

1 Acceptance of Terms

By using SOUQERP Services, you confirm that:

• You are at least 18 years old or authorized by a legal entity.
• You agree to be bound by these Terms and the associated Privacy Policy.
• You have the authority to bind your organization if using the Services on its behalf.

2 Services Description

SOUQERP provides software-as-a-service (SaaS), enterprise modules, cloud-hosted solutions, and technical services covering finance, HR, compliance, and operations. Features may include (but are not limited to):

• Invoice and payment management
• User access controls
• Regulatory integrations (e.g., ZATCA e-invoicing)
• Data dashboards and analytics
• API connectivity and third-party integrations

We may add, remove, or modify features as part of ongoing development and regulatory alignment.

3 Account Management

Users are responsible for:

• Providing accurate, up-to-date information during registration
• Maintaining confidentiality of account credentials
• Immediately notifying SOUQERP of any unauthorized account activity

SOUQERP is not liable for any loss resulting from unauthorized use of your account.

4 Permitted Usage

You may use the Services:

• For internal business purposes only
• In accordance with Saudi Arabian law and applicable international standards
• Without violating any intellectual property, data privacy, or cybersecurity regulations

You may not:

• Attempt to reverse-engineer, decompile, or modify any SOUQERP code
• Share access credentials or content beyond authorized users
• Use the Services for any fraudulent, harmful, or malicious purposes

5 Data Handling and Privacy

SOUQERP protects all user data per its Privacy Policy, including:

• Encryption and secure hosting
• Data localization standards applicable in the Kingdom
• Limited sharing with authorized service partners or regulators

All data submitted remains the property of the user or their organization.

6 Service Availability & Support

We strive to maintain high uptime and availability. However:

• Services may be interrupted for maintenance, updates, or emergencies
• Scheduled maintenance windows will be communicated in advance
• Support is available through designated email or ticketing systems within business hours

7 Subscription, Fees & Billing

If applicable:

• Users agree to pay subscription or service fees as outlined in their agreement
• Invoices are due within defined payment terms
• SOUQERP reserves the right to suspend access for non-payment

All pricing excludes applicable VAT or regulatory levies unless stated otherwise.

8 Intellectual Property

All content, trademarks, source code, visual design, and proprietary workflows remain the exclusive property of SOUQERP or its licensors. Users may not reproduce or redistribute any material without prior written consent.

9 Limitation of Liability

SOUQERP shall not be held liable for:

• Indirect, incidental, or consequential damages
• Loss of data, revenue, or reputation
• Service disruptions caused by external systems, networks, or force majeure events

10 Termination

SOUQERP may terminate access if:

• Terms are violated
• Lawful requests require deactivation
• Accounts are inactive or delinquent beyond acceptable thresholds

Users may terminate services per contract notice periods or by contacting our support team.

11 Amendments

We may update these Terms to reflect platform changes, legal requirements, or operational improvements. Updated versions will be shared via platform notifications or email. Continued use constitutes acceptance of revised Terms.

12 Governing Law & Jurisdiction

These Terms are governed by the laws of the Kingdom of Saudi Arabia, and any disputes will be handled by competent courts within the jurisdiction of Jeddah, unless otherwise stated in a formal contract.
